The titles get used loosely, which causes real confusion at contract time. The clean distinction is about who holds the subcontracts and who carries the risk of the price.
The general contractor
A general contractor signs a contract with the owner to deliver the completed work for an agreed price. The GC then holds every subcontract directly: concrete, steel, mechanical, electrical, plumbing, finishes. If a subcontractor fails to perform or a trade price comes in high, that is the general contractor's problem to solve within the contract sum.
The construction manager
A construction manager is typically hired as an adviser and agent of the owner, paid a fee to plan, schedule, bid and oversee the work. In the pure agency form, the trade contracts are signed by the owner, not the manager, so the owner carries the cost risk directly. A common hybrid, construction manager at risk, converts the manager into a builder who guarantees a maximum price once the scope is defined.
Choosing between them
- Defined scope, price certainty matters most: a general contractor with a fixed price is usually the simplest arrangement.
- Complex, phased or evolving scope, owner has in-house capacity: a construction manager can add value early in planning.
- Owner wants one accountable party and a guaranteed number: design-build or construction manager at risk.
- Public work: the agency's procurement rules often decide the answer for you.
Whatever the title on the contract, ask one question: if this comes in over budget, whose money covers the difference?
Most private commercial projects in the Central Valley are well served by a general contractor or a design-build firm. Construction management tends to earn its fee on large, multi-phase or institutional work where coordination itself is the hardest part of the job.
